Terms of Use

These Terms of Use (the “Terms”) are a binding agreement between you and Mosaic Aisles LLC, a Florida limited liability company (“Mosaic Aisles,” “we,” “us,” or “our”), governing your access to and use of mosaicaisles.com and any related pages, features, and services (the “Site”). By accessing or using the Site, creating a vendor account, or submitting a vendor application, you agree to these Terms. If you do not agree, do not use the Site.

Mosaic Aisles operates a physical marketplace located at 5800 South Flamingo Road, Cooper City, Florida, consisting of booths occupied by independent vendors. The Site provides information about the marketplace, a vendor directory and floor plan, event listings, and a means to apply for and manage a vendor booth. These Terms govern your use of the Site. Any booth license, lease, or vendor agreement you enter into with us is a separate written agreement, and in the event of a conflict between that agreement and these Terms with respect to the leasing relationship, that agreement controls.

You must be at least 18 years old to create a vendor account or submit a vendor application. By doing so you represent that you are 18 or older and that any business information you provide is accurate and that you are authorized to provide it.

Certain features require a vendor account. You agree to provide accurate and complete information, to keep it current, and to keep your login credentials confidential. You are responsible for all activity occurring under your account. Notify us promptly at privacy@mosaicaisles.com of any unauthorized use. Submitting an application does not guarantee a booth or create a tenancy. We may accept or decline applications, and may suspend or terminate an account that violates these Terms or that we reasonably believe presents a risk to the marketplace, other vendors, or visitors.

If you submit business names, descriptions, photographs, logos, or other materials for display in the directory or in marketplace promotion (“Vendor Content”), you grant Mosaic Aisles a non-exclusive, royalty-free, worldwide license to host, reproduce, display, and distribute that Vendor Content for the purpose of operating and promoting the Site and the marketplace. You represent that you own or have the necessary rights to the Vendor Content and that it does not infringe any third-party right or violate any law.

You may not submit content that is unlawful, infringing, deceptive, defamatory, obscene, or that promotes goods you are not authorized to sell. We may remove or decline to display any Vendor Content at our discretion, and removal is not a determination of any legal question.

Vendors at Mosaic Aisles are independent businesses. They are not our employees, agents, or partners, and we do not manufacture, inspect, warrant, or endorse the goods or services they offer. Listing a vendor in our directory is not a recommendation. Any purchase or dispute is between you and that vendor. We are not a party to those transactions and do not assume responsibility for them.

Directory listings, floor plans, hours, and event information are provided for convenience and may change without notice. We make no guarantee that any particular vendor, booth, product, or event will be available. We may modify or discontinue any part of the Site at any time.

You agree not to:

• Scrape, harvest, index, or systematically extract the vendor directory or any other Site content, whether manually or by automated means, or use it to build a competing database or mailing list.
• Use the Site in violation of any law, or to infringe or misappropriate any right of ours or of a third party.
• Interfere with, disrupt, overload, probe, or attempt to gain unauthorized access to the Site, any account, or any system or network connected to it.
• Introduce malware, or use the Site to send unsolicited commercial messages.
• Attempt to install pen registers, trap and trace devices, or other surveillance technology on our systems, or to intercept our communications or those of our users.
• Misrepresent your identity or affiliation, or use another person’s account.

The Site, the Mosaic Aisles name and logo, and the text, graphics, layout, and compilation of Site content are owned by us or our licensors and are protected by intellectual property laws. Except for Vendor Content you submit, you may not copy, reproduce, distribute, or create derivative works from the Site without our prior written permission. Nothing in these Terms grants you any license to our trademarks.

The Site may link to or embed third-party content and services, including mapping services and social media. We do not control and are not responsible for third-party content, products, or privacy practices. Your use of a third-party service is governed by that party’s terms.

By providing your contact information, you consent to receive communications from us electronically, and you agree that electronic communications satisfy any legal requirement that a communication be in writing.

If you affirmatively opt in to our SMS program, you consent to receive text messages from Mosaic Aisles regarding vendor updates, event notices, booth announcements, and marketplace communications at the number you provide, including messages delivered by automated technology. Consent is not a condition of any purchase, of applying for a booth, or of any lease. Message frequency varies. Message and data rates may apply. Reply STOP to opt out at any time and HELP for assistance. Carriers are not liable for delayed or undelivered messages. Our SMS practices are further described in our Privacy Policy.

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

The Site is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty regarding accuracy, availability, or uninterrupted or error-free operation. We do not warrant the goods, services, or conduct of any vendor.

To the fullest extent permitted by law, Mosaic Aisles and its owners, members, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to your use of the Site, whether based in contract, tort, or any other theory, even if advised of the possibility of such damages. Our total aggregate liability arising out of or relating to the Site will not exceed one hundred dollars ($100.00). Nothing in this section limits liability that cannot be limited under applicable law, including for personal injury occurring on our premises.

You agree to indemnify, defend, and hold harmless Mosaic Aisles and its owners, members, officers, employees, and agents from any claim, demand, loss, liability, or expense, including reasonable attorneys’ fees, arising out of your use of the Site, your Vendor Content, your breach of these Terms, or your violation of any law or third-party right.

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court and to participate in a class action.

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles, except that the Federal Arbitration Act governs Section 16. For any matter not subject to arbitration, you and Mosaic Aisles consent to the exclusive jurisdiction and venue of the state and federal courts located in Broward County, Florida.

We may update these Terms from time to time. We will post the revised Terms with a new effective date, and for material changes we will provide reasonable notice, which may include notice to vendors by email or through the vendor account. Your continued use of the Site after the effective date constitutes acceptance of the revised Terms.

If any provision of these Terms is held unenforceable, that provision will be modified to the minimum extent necessary or severed, and the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy and any separate vendor agreement, constitute the entire agreement between you and Mosaic Aisles regarding the Site.
